These Terms of Service ("Terms") govern your access to and use of the Calvera calf-management platform, including the website at calvera.ca, the Calvera mobile application, and all related services (collectively, the "Service"), operated by Krios Software Inc. ("Krios," "we," "us," or "our").
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
You must be at least 18 years of age (or the age of majority in your jurisdiction) to create an account and use the Service. By using the Service, you represent that you meet this requirement.
To use the Service, you must register for an account with a valid email address and password, or be invited to an existing farm account by an administrator. You agree to provide accurate and complete information and to keep your account credentials secure.
The Service uses a multi-tenant model. Each farm has its own account managed by one or more administrators. Farm administrators are responsible for managing user access, roles, and permissions within their farm.
You are responsible for all activity under your account. Notify us immediately at support@krios.ca if you suspect unauthorized access. We are not liable for losses caused by unauthorized use of your credentials.
The Service is designed for managing calf and livestock operations, including recording health events, treatments, weights, pen assignments, protocols, and related farm data. You may use the Service only for its intended purpose and in compliance with all applicable laws.

You retain ownership of all data you enter into the Service ("Your Data"), including calf records, health events, treatment histories, and any other farm information. We do not claim ownership of Your Data.
By using the Service, you grant us a limited, non-exclusive license to store, process, display, and transmit Your Data solely for the purpose of providing and improving the Service. This license terminates when you delete Your Data or close your account.
You may request an export of Your Data at any time by contacting support@krios.ca. We will provide your data in a standard, machine-readable format within a reasonable timeframe.
If you or your farm administrator request account deletion, we will remove Your Data within 30 days, except where retention is required by law. Aggregated, anonymized data may be retained for analytics.
The Service offers both free and paid subscription plans. Features, calf limits, and pricing are described on our website and may change from time to time. We will provide notice of material pricing changes at least 30 days in advance.
Paid subscriptions are billed in advance on a monthly or annual basis. All fees are in Canadian dollars (CAD) unless otherwise stated. Payments are processed by third-party payment providers.
You may cancel your subscription at any time through the Service or by contacting us. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.
The free tier may have limitations on the number of calves, users, or features. We reserve the right to modify free tier limits with 30 days' notice.
The Service, including its design, code, graphics, logos, and documentation, is owned by Krios Software Inc. and is protected by Canadian and international intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Service except as expressly permitted by these Terms.
The "Calvera" name and logo are trademarks of Krios Software Inc.
The Service may integrate with or link to third-party services (e.g., Firebase, Sentry, SendGrid). Your use of third-party services is governed by their own terms and privacy policies. We are not responsible for the content, privacy practices, or availability of third-party services.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or secure. The Service is a record-keeping and management tool and does not constitute veterinary advice. Always consult a qualified veterinarian for animal health decisions.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KRIOS SOFTWARE INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED CANADIAN DOLLARS (CAD $100), WHICHEVER IS GREATER.
You agree to indemnify, defend, and hold harmless Krios Software Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections 4.1, 8, 9, 10, and 13 survive termination.
You may terminate your account at any time by contacting support@krios.ca.
We may update these Terms from time to time. When we make material changes, we will revise the "Last Updated" date and notify users via email or in-app notice at least 30 days before the changes take effect. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict-of-law provisions. Any disputes arising from these Terms or the Service shall be resolved exclusively in the courts of Ontario, Canada.
